ZIVV – TERMS AND CONDITIONS

Company: NAC Media Group Inc. (“Zivv”, “we”, “us”, or “our”)

1. Acceptance of Terms

By accessing or using the Zivv platform (“Platform”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, you may not use the Platform.

2. Description of Services

Zivv is a change management software platform designed to help organizations plan, manage, track, and approve internal and external initiatives. We reserve the right to modify, update, or discontinue any part of the Platform at any time without notice.

3. User Accounts

You agree to provide accurate, current, and complete information.
You are responsible for safeguarding your login credentials.
You are responsible for all activity under your account.

4. Subscription & Billing

Zivv is offered on a subscription basis (monthly or annual).
All fees are billed in advance and are non-refundable unless otherwise stated.
You authorize us to charge your payment method for all applicable fees.
Subscriptions may automatically renew unless cancelled prior to the renewal date.

5. Acceptable Use

You agree not to:

Use the Platform for any unlawful or unauthorized purpose
Attempt to gain unauthorized access to systems or data
Interfere with or disrupt the Platform or its infrastructure
Upload or distribute malicious code or harmful content

6. Intellectual Property

All rights, title, and interest in and to the Platform, including all software, content, trademarks, and branding, remain the exclusive property of NAC Media Group Inc.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform during your active subscription.

7. Data & Privacy

You retain ownership of all data you submit to the Platform.
You grant Zivv a license to use, process, and store your data solely for the purpose of providing the service.
While we implement reasonable safeguards, we do not guarantee absolute security.

7.1 Data Retention & Deletion

Data retention periods may vary depending on your subscription tier or service level.

Zivv will retain customer data only for the duration of the active subscription and for a limited period thereafter, as determined by the applicable service tier.
Certain lower-tier plans may have limited or no data retention guarantees following termination or expiration of the subscription.
Zivv shall not be responsible for the loss, deletion, or inability to recover data associated with any tier plans or following the expiration of any applicable retention period.
It is the user’s responsibility to export or back up any data prior to cancellation or termination of the service.

8. Third-Party Integrations

The Platform may include integrations with third-party services. Zivv is not responsible for the availability, accuracy, or practices of such third parties.

9. Service Availability & SLA

Zivv is committed to providing a high level of service reliability.

9.1 Service Level Commitment (SLA)

Zivv targets 99.99% uptime for the Platform, measured on an annual basis, excluding:

Scheduled maintenance (with reasonable notice where possible)
Emergency maintenance
Events outside of our reasonable control, including but not limited to force majeure events, third-party outages, or internet disruptions

This uptime target is a goal and not a guarantee of uninterrupted service.

10. Decision Responsibility Disclaimer

Zivv provides workflow, tracking, and approval tools to facilitate organizational processes.

Zivv does not make decisions, provide professional advice, or assume responsibility for any outcomes resulting from the use of the Platform.

All decisions, approvals, actions, and outcomes generated through the Platform are solely the responsibility of the user and their organization.

Users acknowledge that Zivv is a tool to support decision-making processes and that all final determinations are made independently of Zivv.

11. Limitation of Liability

To the maximum extent permitted by law:

Zivv shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of data, business interruption, or loss of profits
Zivv shall not be liable for any decisions, actions, or outcomes resulting from the use of the Platform, including those arising from internal or external approval workflows
Our total aggregate liability shall not exceed the amount paid by you to Zivv in the twelve (12) months preceding the claim

12. Approval Workflows & Responsibility

Zivv provides tools to facilitate both internal and external approval workflows. These tools are intended solely to streamline communication and process management.

Zivv does not verify, validate, or guarantee the accuracy, legality, or appropriateness of any approvals, rejections, or decisions made through the Platform.
All approvals—whether internal (within an organization) or external (including clients, partners, or third parties)—are made at the sole discretion and responsibility of the parties involved.
Zivv shall not be liable for any disputes, damages, delays, or losses arising from or related to approval workflows conducted through the Platform.
Users are solely responsible for ensuring that appropriate authority, oversight, and verification processes are in place within their organization.

13. Indemnification

You agree to indemnify and hold harmless NAC Media Group Inc. and its officers, directors, employees, and affiliates from any claims, damages, or expenses arising from:

Your use of the Platform
Your violation of these Terms
Your violation of any applicable law or third-party rights

14. Termination

14.1 Termination by User

You may cancel your subscription at any time through your account by contacting us directly.

Cancellation does not result in immediate termination of service. Your subscription will remain active until the end of your current paid billing term.

For clarity:

If an annual subscription begins on May 1 and is cancelled in October, access will continue through April 30 of the following year.
No refunds, credits, or prorated reimbursements will be issued for any unused portion of the subscription term.

14.2 Termination by Zivv

We may suspend or terminate your access immediately if:

You breach these Terms
Your use poses a security or operational risk
Required by law or regulatory authority

14.3 Effect of Termination

Upon termination:

Access to the Platform will cease at the end of the applicable term (or immediately if terminated for cause)
We may delete your data after a reasonable retention period

15. Changes to Terms

We may revise these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the updated Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of British Columbia, Canada, without regard to conflict of law principles.
